Mohamed Al-Sanosi has an extensive experience in handling the legal affairs that ranges from business start-ups to day-to-day legal compliance including joint ventures, corporate governance, IPO, Construction and Industrial infrastructure. He possesses an exceptional proficiency in drafting legally accurate and precise agreements, contracts and documents as well as handling litigation and arbitration cases.
 

In-depth knowledge of the corporate and commercial legal issues, I gained my legal experience from the following practices;
Advising on, Negotiating, drafting and reviewing (both in English & Arabic) the national and/or multi-national memos, agreements and contracts of varied nature including the followings;
Real Estate Development Contracts, such as Construction Contracts e.g FIDIC Red (EPC), Silver (EPC/TK), Golden (DBO), Green (Dredgers Works), Yellow (DB) Books, Consultancy Contracts e.g. FIDIC White book (Design/Supervision/Cost/etc Consultancy Services), Project Management Contracts, Facility Management Contracts, Hotel Services & Management Agreements, Maintenance Contracts and Lease Contracts in addition to the Tender legal Documents & Letters of Awards.
Commercial Contracts, such as Joint Venture (JV), Franchise, Share transfer & Assets Acquisition, Sales, Distribution & Marketing, Non-Disclosure Agreements (NDA & MNDA), Memorandum of Understanding (MOUs), Service Level Agreements (SLAs),Letter of Intent (LOI), Term Sheets (TS) ... etc.
TV Contracts, such as Satellites Services, Transmission & TV Broadcasting, Encryption, Licensing, Production, Distribution, Advertisement, Sponsorship, Sports ... etc.
• Advising on, Drafting and reviewing of Memorandum of Associations (MOA), Articles of associations (AOA) and Shareholders Agreement & Resolutions and following the procedures of the companies’ registration & publishing with the competent authorities in KSA.
• Advising on liquidation procedure, corporate merger and internal corporate restructuring, Initial Public Offering (IPO) ... etc.
• Advising on the followings:
1. Company’s claims & disputes with its Contractors, Consultants & other clients
in accordance with the signed Construction & Consultancy Contracts and the
company's regulations.
2. Company’s dispute with its employees in accordance with Labor Law and the
company's regulations.
3. Company’s national and foreign investments, and protecting the foreign
investments through the best Taxation Plan to be secured by the establishment of the suitable Offshore companies (SPVs) in the suitable tax paradise countries in coordination with the Tax Experts.
4. Company`s Intellectual Property works, such as Registration of Trademarks and Copyrights.

• Liaison with the company's external law firms within KSA and abroad in all legal aspects (including the litigation matters), suggesting the required actions, reviewing memoranda to courts and finalizing retainer agreements
• Analyze and keep an update on changes in the laws and regulations in Saudi Arabia.
• Ensure that all agreements to be entered into by the company do not conflict with any provisions of applicable laws or any other agreement the company had entered into.
• Follow up the execution of all company's signed agreements and contracts with other entities.
LITIGATION PRACTICE:
Preparing statements of claim, memos of defense, and all other pleadings and requests to be submitted to courts and/or arbitrators in KSA;

Mohamed is born on Makkah 1974 in Saudi Arabia. He acquired the PhD in Law (Corporate Governance) form the University of Leicester, Leicester United Kingdom on 2011G and the LLM in Law (International Trade) from the University of Essex, Colchester United Kingdom on 2003G, and he graduated from the university King of AbdulAziz Faculty of Business Administration in Saudi Arabia with Bachelors of Laws (LL.B) on 1999.
