    BinDawood Holding manages two key retail chains – BinDawood and Danube – across 84 hypermarkets and supermarkets in major Saudi Arabian cities, including Makkah, Medina, Jeddah, Riyadh, Khobar, Dammam, Al Ahsaa, Taif, Abha, Khamis Mushait, Jizan, Kharj, Unaiza, Al Jubail and Hail employing over 10,000 people.

    We are currently looking to hire Compliance and Governance Manager.

    Job Summary:

    As the Compliance and Governance Manager, you will be reporting to the Chief Audit and GRC Officer and will be responsible for ensuring that BinDawood Holding and its subsidiaries adhere to all relevant laws, regulations, internal policies, governance and ethical standards. The candidate will also be responsible for enforcing regulations in all aspects and level of business as well as providing guidance and promoting a culture of compliance and sound corporate governance.

    Responsibilities:

    • Monitor and interpret changes in relevant laws and regulations.
    • Implement and maintain compliance policies and procedures and ensure they are regularly updated based on the new laws and regulations.
    • Spread and implement the regulatory requirements awareness in the company as well as evolving best practices in Compliance and Governance.
    • Collaborate with department heads to ensure regulatory compliance within their areas of responsibility.
    • Evaluate the efficiency of control systems and improve them continuously.
    • Develop and oversee control system to prevent or deal with violations of regulatory requirements and internal policies.
    • Investigate and report on any compliance breaches or violations.
    • Provide guidance and support to the Board of Directors and executive management on compliance matters.

    Corporate Governance

    • Implement and enhance corporate governance frameworks and best practices.
    • Provide guidance and support to the Board of Directors and executive management on corporate governance matters.
    • Collaborate with the department heads to monitor enforcement of corporate governance standards and regulations.
    • Facilitate Board and committee meetings, ensuring proper documentation and compliance with governance principles.
    • Promote transparency, accountability, and ethical conduct throughout the organization.
    • Manage and facilitate the company General Assemblies.

    Ethical Culture:

    • Foster a strong ethical culture within the organization.
    • Encourage employees to report concerns and violations through appropriate channels

    Training and Education:

    • Develop and deliver compliance and governance training programs for employees and stakeholders.
    • Keep the organization informed about relevant legal and regulatory changes.

    Reporting and Documentation:

    • Prepare and submit regular compliance and governance reports to senior management and regulatory authorities.
    • Maintain accurate records of compliance activities, including audit findings and remediation efforts.

    Requirements and skills:

    • 6+ years of experience in compliance, governance, or a related field, preferably in the retail industry.
    • In-depth knowledge of Saudi Arabia's regulatory environment and corporate governance practices and the experience of dealing with the regulators.
    • Bachelor's degree in Business, Law, or a related field, Master's degree or relevant certification (e.g., CCEP, CCO, CCP) is a plus.
    • Certificate of 'IFSAH' by Capital Market Authority is a must.
    • Strong analytical, communication, documentation, reporting and leadership skills.
    • Ability to work collaboratively with cross-functional teams.
    • Excellent written and spoken English and Arabic.

    Excellent knowledge of reporting procedure and record keeping
