Job Description Governance Manager - Riyadh
• Manage the establishment of the governance model for the company, subsidiaries and spinoffs by establishing clear accountability and facilitating decision-making in the ecosystem.
• Manage the subsidiary's governance framework to ensure the proper allocation of responsibilities and authorities across the portfolio of subsidiaries/spinoffs to achieve proper governance and effective decision-making.
• Review and suggest improvements in the subsidiaries' Delegation of Authority Matrix to ensure the proper distribution of authorities across functions and Management Committees and to ensure accountability and integrity in the decision-making process.
• Manage subsidiary governance awareness sessions and provide guidance and trainings where required.
• Manage the review and the development and implementation of subsidiaries' governance policies and procedures.
• Review and suggest improvements in the Subsidiary Policy Management Framework to provide overall direction for policy development.
• Review the subsidiaries' Board Committee charters in cooperation with the relevant functions in order to enable committees to deliver and uphold effective governance.
• Provide input to the sector's strategy from the Department's or Section's perspective in line with overall vision and mission.
• Develop the Department's or Section's objectives, KPIs, annual operational plans and ensure plan execution is meeting the targets
• Contribute to the preparation of the Department's or Section's annual budget and monitor the financial performance of the Department or Section.
• Implement and execute the Department's or Section's policies and procedures. Oversee the overall performance of the section and ensure KPI's are well developed, cascaded, communicated and monitored.
• Ensure effective staffing, professional development and deployment of staff of the Department or Section in consultation with the Sector Executive or (Executive) Director. The Successful Applicant The successful candidate for this role must be a strategic leader with expertise in corporate governance. They should possess strong communication, financial, and leadership skills, as well as the ability to analyze and improve governance frameworks. Collaboration, adaptability, and ethical integrity are also crucial. Their responsibilities include aligning governance with the company's vision, managing subsidiary frameworks, developing policies, setting objectives and KPIs, and overseeing budget and staffing for their department or section.
