General Overview:


Key Responsibilities:


  • Design and Implement Contracts & Commercial Transactions Department's corporate strategy.
  • Establish the department's business plans and provide input to support the Company's overall strategic plan and KPIs.
  • Collaborate with department heads to identify Contracts & Commercial Transactions Department's required projects to meet future business demands.
  • Manage the department's annual budgeting cycle and process, & report accurately on progress made and challenges encountered.
  • Formulate strategies that result in a positive financial impact for the Company and mitigate financial and operational risks.
  • Draft and review a wide range of commercial contracts and agreements (e.g. Licensing agreements, distribution agreements), to ensure they align with the Company's legal and business requirements.
  • Develop and implement strategies to minimize legal and financial risks related to contractual agreements, such as negotiating favorable terms and conditions, drafting dispute resolution clauses, and ensuring compliance with regulatory requirements.
  • Draft and maintain the Company's legal templates and liaise with external counsel regarding the same.
  • Draft and negotiate the Company's commercial contracts with both internal and external stakeholders.
  • Review and negotiate commercial contracts provided by counterparties.
  • Ensure compliance of the commercial contracts with the Company's policies, procedures as well as local laws.
  • Collaborate with the operations team regarding the negotiation of the commercial contracts' business terms.
  • Provide preventive advice for any potential dispute arising from commercial contracts.
  • Conduct legal research to stay abreast of changes in the industry and identify legal trends, risks, and opportunities that may affect the Company's commercial transactions.
  • Drafting and negotiating pretransaction documents (e.g. Letter of intents, memorandum of understanding, etc.)
  • Performing and documenting legal due diligences for potential M&A and disinvestments.
  • Identifying legal and due diligence risks and reporting to the Company's board.
  • Reviewing and negotiating transaction documents (e.g. acquisition and divestment agreements) and liaising with external counsel regarding the negotiation of the transaction documents.
  • Update and maintain legal due diligence reports.
  • Collaborate with the Corporate & Governance team for the update of corporate records following an M&A transaction.
  • Collaborate with the Growth Team in relation to the integration/divestment strategy following the closing of the M&A transaction.
  • Manage the development and implementation of Contracts & Commercial Transactions Department's policies, procedures, and controls covering all areas of activity so that all relevant procedural/legislative requirements are fulfilled while delivering highquality and costeffective results.
  • Manage Contracts & Commercial Transactions Department's activities to ensure compliance with stipulated policies and procedures.
  • Lead the management of change through continuous improvement of Contracts & Commercial Transactions Department's systems and processes taking into account leading practices, changes in international standards and changes in the business environment which demand proactive action plans.
  • Guide, mentor, and develop Contracts & Commercial Transactions Department's team to take larger and more complex responsibilities.
  • Lead the adoption of Talent Management practices (e.g., career paths, succession plans) within Contracts & Commercial Transactions Department.
  • Provide clear topdown communication to employees and bottomup feedback to the Management.
  • Promote a highperformance working environment embracing the Company's values.

Requirements:


  • Minimum 8 to 10 years of experience in Legal / Commercial Transactions in a mediumsized reputable organization.
  • Experience in building and maintaining strong collaborative relationships with senior internal and external stakeholders, with at least 4 years of experience in a senior managerial position.
  • A bachelor's degree in law is required.
  • A master's degree in law or equivalent is preferred.
